Terms of Membership

1. About These Terms 

These Terms of Membership are an agreement between you and Equiknox Consulting LLC ("Equiknox", "we", "us"). By joining the Equiknox Insights Membership or buying a report, you agree to these Terms and to our Privacy Policy. If you join on behalf of a company, you confirm you have authority to accept these Terms for that company. Our services are for business use, and you must be at least 18 years old to join. 

2. Membership and Automatic Renewal 

The Equiknox Insights Membership costs $49 per month or $490 per year, plus any applicable tax. Your membership renews automatically at the end of each billing period, and we charge the payment method on file on each renewal date, until you cancel. Membership includes access to the members area, the ability to order reports, and Member Insights content. 

3. How to Cancel 

You can cancel at any time online from your account (Account, then Memberships, then Cancel), or by emailing michaelknox@equiknoxllc.com. Cancellation takes effect at the end of your current billing period, and you keep access until then. We do not provide refunds for partial billing periods unless required by law. 

4. Price Changes 

We will email you at least 30 days before any price change takes effect. The new price applies from your next renewal. You can cancel before then if you do not want to continue. 

5. Reports 

Reports, including Initial Inventory Analysis and Min/Max Optimization, are purchased separately for $500 each. After purchase, you download a template, complete it with your data, and upload it. Our target is to deliver results within 2 business days after we receive a complete, usable file. This is a target, not a guarantee. If your file is incomplete, we will contact you, and the timing starts again when we receive a usable file. If you correct your data within 30 days of delivery, we will rerun the same report once at no charge.

6. Refunds for Reports 

If we cannot deliver a report you purchased, we will refund it in full. Once a report has been delivered, it is not refundable. If a report contains an error we caused, we will correct it at no charge. 

7. Your Data 

You keep ownership of all data you upload. You give us permission to use it only to provide the services you purchased, including processing by our service providers described in the Privacy Policy. You confirm that you have the right to share the data with us, including under any confidentiality obligations you owe to others. Upload only parts and inventory data. Do not include personal information about employees, customers, or other individuals. 

8. Confidentiality 

We keep your data and results confidential and use them only to serve you. We will not publish results that identify you or your company without your written permission. We may use aggregated, anonymized information that cannot identify you or your company to improve our tools. 

9. Our Materials 

Our templates, methods, calculations, report formats, and Member Insights content (including whitepapers, briefs, and podcast materials) belong to Equiknox. You may use your reports and member content for your own internal business purposes. You may not resell, redistribute, publish, or reverse engineer them, or share your login with others. 

10. Member Insights 

Whitepapers, briefs, and podcast episodes are general educational content. Topic requests are welcome, and topics are scheduled based on member interest; we do not guarantee that a requested topic will be covered. 

11. Not Professional Advice; No Guaranteed Results 

Our analysis is based on the data you provide and on standard inventory methods. Results are estimates and recommendations. You are responsible for reviewing them and for the decisions you make. Our services are not financial, legal, tax, or accounting advice, and we do not guarantee any particular savings or outcome. 

12. Disclaimer 

Our services and content are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. 

13. Limitation of Liability 

To the fullest extent permitted by law, Equiknox will not be liable for indirect, incidental, special, consequential, or lost profit damages. Our total liability for any claim relating to the services is limited to the amount you paid us in the 12 months before the claim arose. 

14. Your Responsibilities 

You agree to indemnify Equiknox against claims arising from data you did not have the right to share or from your misuse of the services. Keep your account login secure. 

15. Ending Access 

We may suspend or end your membership if you breach these Terms or do not pay. If we end your membership without cause, we will refund any prepaid fees for the unused period. 

16. Changes to These Terms 

We may update these Terms. We will post the new version with a new effective date and email members about material changes before they take effect. 

17. Governing Law 

These Terms are governed by the laws of the State of Indiana. Any dispute will be handled in the state or federal courts located in Indiana.
